Overview

These Terms of Service govern your access to and use of paperseeds.world, including any purchase of products or services offered through the website. The website is operated under the Paper Seeds name. In these terms, “Paper Seeds”, “we”, “us” and “our” refer to the website operator, and “you” and “your” refer to the person using the website or placing an order.

By accessing the website, creating an account or placing an order, you agree to these terms, our Privacy Policy and our Refund & Returns Policy. If you do not agree, do not use the website or place an order.

Nothing in these terms excludes or limits any rights or remedies that cannot lawfully be excluded or limited.

1. Eligibility and account information

You must have the legal capacity to enter into a contract in the place where you live. If you place an order for a company or another organisation, you confirm that you are authorised to act on its behalf.

You agree to provide accurate, current and complete information during checkout and to update it when necessary. You are responsible for maintaining the confidentiality of your account credentials and for activity carried out through your account, except where the activity results from our failure to use reasonable care.

2. Website use

You may use the website only for lawful personal or business purchasing purposes. You must not:

  • Use the website for fraud, unlawful activity or infringement of another person’s rights.
  • Attempt to gain unauthorised access to the website, customer accounts, servers or connected systems.
  • Introduce malware, malicious code or any technology intended to disrupt or damage the website.
  • Scrape, copy or systematically extract website content or product data without our written permission.
  • Use automated systems to place fraudulent orders, interfere with availability or circumvent purchase limits.
  • Misrepresent your identity, authority, delivery information or payment details.

We may suspend or restrict access where reasonably necessary to protect the website, customers, payment systems or our legal rights.

3. Product information

We aim to describe and display our products accurately. However, screen settings, photography and natural material variation may affect how colours, textures and details appear. Measurements and weights may also vary slightly where the nature of the product or production process makes exact uniformity impractical.

Seed paper contains natural paper fibres and seeds. Differences in texture, thickness, colour, seed distribution, edges and surface appearance are normal characteristics of the material and are not necessarily defects.

Product availability, specifications, packaging and prices may change. A change will not affect an order that we have already accepted unless you agree to the change or it is required by law.

4. Seeds, planting and growing results

Seeds are living materials. Germination and growth depend on conditions outside our control, including storage, seed age, climate, season, soil, planting depth, moisture, light and ongoing care. Product descriptions and planting guides explain intended use but do not guarantee a particular germination rate, flowering result or growing time unless a written guarantee is expressly provided for a specific product.

You are responsible for checking whether the seed varieties in a product are suitable and permitted for planting, importing or distributing in your destination. Do not plant a product where local rules prohibit the included seeds or where doing so may harm local ecosystems.

5. Orders and contract formation

Submitting an order is an offer to purchase the selected products. An automated order acknowledgement confirms that we received your request; it does not necessarily mean that we have accepted the order.

A contract is formed when we confirm that the order has been accepted, begin approved custom production, or dispatch the products, whichever occurs first.

We may decline or cancel an order before acceptance where reasonably necessary, including because:

  • A product is unavailable.
  • Pricing, description or stock information contains an obvious error.
  • Payment cannot be authorised or appears unauthorised or fraudulent.
  • Delivery is unavailable or restricted at the destination.
  • The order breaches these terms or applicable law.

If we cancel an order after payment has been received and no substitute is agreed, we will refund the amount paid for the cancelled item or order to the original payment method.

6. Prices, currency and taxes

Prices are shown in the currency displayed on the website or at checkout. Delivery charges, taxes and other applicable fees will be shown before payment where they can reasonably be calculated by us.

For international orders, the recipient may be responsible for import duties, taxes, brokerage charges, inspections or other fees imposed by the destination. These charges are not controlled by us unless the checkout expressly states that they are included.

If a price or product description contains an obvious error, we may contact you to confirm whether you wish to proceed using the corrected information. We will not charge a corrected price without your agreement.

7. Payment

You agree to provide a valid payment method that you are authorised to use. Payment may be processed by a third-party payment provider and may be subject to that provider’s terms and security checks.

We may delay acceptance, production or dispatch until cleared payment or an agreed deposit has been received. If a payment is reversed, disputed or found to be unauthorised, we may suspend fulfilment and take reasonable steps to recover products or amounts lawfully due.

8. Custom and personalised products

Custom products may include printed, personalised, cut-to-size, specially shaped, branded or otherwise made-to-order seed paper products.

Before production, you are responsible for checking and approving all relevant details, including:

  • Product type, paper specification, seed option and colour.
  • Finished dimensions, shape, quantity and finishing requirements.
  • Artwork, spelling, layout, logos, contact information and other content.
  • Proofs, quotations, delivery details and target dates.

Production may begin after we receive the required payment and your approval. Changes requested after approval may not be possible and may result in additional charges or a revised completion date. Custom orders cannot normally be cancelled or returned for a change of mind after production has started. Further details are set out in our Refund & Returns Policy.

Digital proofs are intended to check content and placement. They may not reproduce the exact colour, texture or physical appearance of the finished seed paper. If exact appearance is critical, ask whether a physical sample or production proof is available before approving the order.

9. Customer artwork and materials

You retain ownership of artwork, logos, text, photographs and other materials that you provide. You give us a limited permission to use, reproduce, adapt and process those materials only as reasonably necessary to quote, proof, manufacture and fulfil your order.

You confirm that you own the materials or have permission to use them and that our use of them for your order will not infringe intellectual property, privacy or other rights. You are responsible for claims or losses resulting from materials you supplied without the required rights or permissions.

We may refuse content that is unlawful, infringing, deceptive, abusive or technically unsuitable for production.

10. Production and delivery estimates

Production and delivery dates are estimates unless we expressly agree in writing that a date is guaranteed. Lead times may begin only after payment, specifications and artwork approval have been completed.

We will take reasonable steps to meet stated estimates, but delays may result from material availability, production issues, carrier disruption, customs clearance, weather, public restrictions or events outside our reasonable control. We will notify you of a material delay when reasonably possible.

You are responsible for providing a complete and accurate delivery address and for arranging lawful receipt of the shipment. Additional costs caused by an incorrect address, failed delivery, refusal, unclaimed parcel or destination restriction may be charged or deducted from any recoverable refund, to the extent permitted by law.

11. International shipping and import restrictions

Seed paper contains plant material and may be subject to postal, courier, customs, agricultural, quarantine or biosecurity restrictions. Rules vary by destination and may change without notice.

You are responsible for checking destination requirements before ordering unless we expressly agree in writing to handle a particular permit or approval. We may request additional information, change the shipping method, remove an unavailable option or cancel an affected order where shipment would be unlawful or impracticable.

We do not guarantee that customs or another authority will admit a shipment. If a shipment is rejected, returned, destroyed or delayed because of destination restrictions, we will assess any refund based on the circumstances, recoverable goods and costs already incurred, subject to applicable law.

12. Cancellations, returns and refunds

Cancellation, return, replacement and refund eligibility is governed by our Refund & Returns Policy, which forms part of these terms.

Please inspect products promptly after delivery and contact us as soon as possible if an order is damaged, faulty, incorrect or materially different from its description or approved specification.

13. Promotions and discount codes

Promotions, samples, discount codes and special offers may be subject to separate conditions, availability limits, expiry dates or product exclusions. Unless stated otherwise, promotional codes cannot be exchanged for cash or combined with another offer.

We may refuse or cancel the use of a promotion where it has expired, was issued in error, is used fraudulently or is used contrary to its stated conditions.

14. Intellectual property

Unless otherwise stated, the website and its content—including text, graphics, product photographs, videos, branding, page layouts and software—are owned by or licensed to Paper Seeds and are protected by applicable intellectual property laws.

You may view and use the website for ordinary personal or business purchasing purposes. You may not reproduce, publish, sell, license, distribute, modify or commercially exploit website content without prior written permission, except where the law permits.

15. Reviews and other submitted content

If you submit a review, photograph, comment or other public content, you confirm that it is accurate to the best of your knowledge, lawful and does not infringe another person’s rights.

You give us a non-exclusive, worldwide, royalty-free permission to display, reproduce and adapt that public content for operating and promoting the website and our products. This permission does not transfer ownership of your content to us. You may ask us to stop using content where reasonably practicable, subject to legal and record-keeping requirements.

16. Third-party services and links

The website may use or link to third-party services, including payment providers, delivery companies, social networks and external websites. Those services are operated independently and may have their own terms and privacy policies.

We are not responsible for third-party content or services that we do not control, but this does not affect any responsibility we have for selecting or using service providers with reasonable care where required by law.

17. Website availability and errors

We may maintain, update, suspend or change parts of the website from time to time. We do not guarantee that the website will always be available, uninterrupted, secure or free from technical errors.

We may correct typographical, pricing, availability or technical errors when discovered. If a correction materially affects an order already submitted, we will contact you before proceeding where required.

18. Liability

We are responsible for losses that are a reasonably foreseeable result of our breach of these terms or failure to use reasonable care. We are not responsible for losses caused solely by information, instructions, artwork, addresses or materials supplied incorrectly by you, or by events outside our reasonable control.

Where you purchase as a consumer, we do not exclude or limit liability for goods that do not correspond with their description, are not of the quality or fitness required by applicable law, or for any other liability that cannot lawfully be excluded or limited.

Where you purchase wholly or mainly for business purposes, we are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business opportunity or loss of anticipated savings, except where such liability cannot lawfully be excluded.

Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

19. Events outside reasonable control

We are not responsible for delay or failure caused by an event outside our reasonable control. This may include natural disasters, severe weather, epidemic restrictions, labour disputes, transport disruption, customs action, government restrictions, utility failure, cyber incidents or supply interruption.

We will take reasonable steps to reduce the effect of the event and resume performance. If a material delay continues, either party may have the right to cancel the affected unfulfilled part of the order, subject to costs already reasonably incurred for approved custom work and any rights available under applicable law.

20. Privacy

Our collection and use of personal information is described in our Privacy Policy. Third-party payment, delivery or platform providers may process information under their own privacy terms where necessary to complete an order.

21. Changes to these terms

We may update these terms to reflect changes to the website, products, business practices or legal requirements. The revised terms will take effect when published with a new “Last updated” date.

The terms in effect when an order is accepted will normally govern that order unless a change is required by law or you agree otherwise.

22. Severability and no waiver

If any provision of these terms is found to be unlawful or unenforceable, that provision will be applied to the maximum extent permitted or removed, and the remaining provisions will continue in effect.

If we do not immediately enforce a right under these terms, that does not mean we have waived that right.

23. Governing law and disputes

These terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong will have non-exclusive jurisdiction over disputes arising from these terms or use of the website.

If you are a consumer outside Hong Kong, this section does not deprive you of mandatory protections or rights that apply under the law of your place of residence.
